These terms and conditions govern your use of our platform, mobile application, and associated services.

2. Definitions

“Platform” refers to the Ezapp website and mobile application.

“User” refers to anyone using the Ezapp platform, including customers, sellers, service providers, and farmers.

“Services” refers to all functionalities offered by Ezapp.

“Content” refers to all information, text, images, videos, and other materials on the platform.

3. User Accounts

Users must create an account to access the platform’s services.

You are responsible for maintaining the confidentiality of your login credentials and are liable for all activities conducted through your account.

Providing false or misleading information during registration is prohibited.

Users must be at least 18 years old to register.

4. Use of Services

Users may use the platform for lawful purposes only.

Ezapp reserves the right to monitor activities to ensure compliance with these terms.

Misuse of the platform, including fraud, harassment, or illegal transactions, is strictly prohibited.

5. Seller and Service Provider Obligations

Sellers and service providers are required to ensure their products and services comply with applicable laws and quality standards.

Accurate information regarding product descriptions, pricing, and availability must be provided.

Farmers must ensure the authenticity and quality of farming products sold via the platform.

6. Payment Terms

Payments must be made through authorized payment methods integrated into the platform.

Users agree to pay all applicable fees, taxes, and charges associated with their transactions.

7. Delivery and Fulfillment

Delivery timelines are estimates and subject to change due to unforeseen circumstances.

Ezapp is not responsible for delays caused by external factors such as natural disasters or third-party logistics.

8. Returns, Refunds, and Cancellations

EZAPP SELLER AGREEMENT

 

(Digital Acceptance – Legally Binding)

 

Effective Date: The date you click “Accept” during Ezapp Seller Registration.

 

IMPORTANT: By accepting this Agreement digitally, you acknowledge and agree that Ezapp is only a technology and delivery facilitation platform. Ezapp bears no responsibility for the quality, legality, accuracy, or safety of products sold by you. You are solely responsible for your actions, products, and compliance with all applicable laws.

1. Parties

 

This Agreement is entered into between:

 

Ezapp Technologies Pvt. Ltd. (“Ezapp”, “We”, “Platform”), a company incorporated under the Companies Act, 2013, having its registered office at [Insert Address],

 

AND

 

You, the Seller (“Seller”, “Store”), being a business or individual registering on the Ezapp Platform to sell goods or services.

2. Purpose

 

Ezapp enables Sellers to list, sell, and deliver products/services through its platform and associated delivery partners. Ezapp does not manufacture, own, or sell any products and is not responsible for seller actions, product quality, or compliance.

3. Fee Structure

> Notes:

 

All percentages are applied to the order value excluding taxes and discounts.

 

GST and applicable taxes are charged additionally.

 

“As per Ezapp Policy” means charges will be communicated before category activation.

4. Payment Terms

 

Payouts will be transferred to your registered bank account [weekly/bi-weekly – specify] after deducting applicable fees and adjustments.

 

Refunds to customers arising due to your fault will be deducted from your future payouts.

 

You are responsible for providing correct and updated bank details.

5. Seller Responsibilities

 

You agree to:

 

1. List products/services accurately with correct descriptions, images, prices, expiry dates, and statutory information.

 

 

2. Maintain all required business licenses (GST registration, FSSAI license, Drug License, etc.).

 

 

3. Ensure product quality, safety, legality, and freshness.

 

 

4. Accept orders within 5 minutes and prepare them within the stipulated time.

 

 

5. Package products securely to prevent damage in transit.

 

 

6. Not list prohibited, illegal, or counterfeit items.

 

 

7. Handle customer complaints, returns, and replacements as per Ezapp’s Return & Refund Policy.

 

 

8. Keep customer data confidential and use it only for fulfilling orders.

 

 

9. Bear full legal responsibility for your listings, sales, and business practices.

6. Ezapp’s Role & Liability Disclaimer

 

Ezapp is only a technology and delivery facilitator.

 

Ezapp does not guarantee product quality, safety, legality, or timely delivery.

 

Ezapp will not be responsible for:

 

Customer dissatisfaction arising from seller’s actions.

 

Losses caused by delays, cancellations, or wrong orders.

 

Any breach of law or regulatory non-compliance by the seller.

 

 

Ezapp’s maximum liability is limited to refunding the customer the order value (if applicable).

7. Returns, Refunds & Disputes

 

Sellers must comply with Ezapp’s Return & Refund Policy.

 

In case of disputes, Ezapp’s decision will be final and binding.

 

Costs of refunds due to seller faults will be borne entirely by the seller.

8. Prohibited Items

 

Sellers are prohibited from listing:

 

Illegal drugs, weapons, alcohol, tobacco, counterfeit products, obscene material, unsafe goods, or any item banned under Indian law or Ezapp’s internal policies.

9. Compliance

 

You must:

 

Comply with all applicable laws (GST, Consumer Protection Act, FSSAI, Drugs & Cosmetics Act, Legal Metrology, etc.).

 

Provide proof of compliance upon request by Ezapp.

10. Term & Termination

 

This Agreement continues until terminated by either party with 15 days’ written notice.

 

Ezapp may suspend or terminate your account immediately for policy breaches, illegal activity, or risk to customer safety.

11. Indemnity

 

You agree to indemnify and hold harmless Ezapp, its employees, and partners against any claims, damages, losses, or expenses arising from:

 

Your products or services.

 

Your breach of laws or this Agreement.

 

Any act or omission by you or your staff.

12. Governing Law & Jurisdiction

 

This Agreement is governed by the laws of India.

All disputes shall be subject to the exclusive jurisdiction of the courts in Gautam Buddh Nagar, Noida, Uttar Pradesh.

13. Digital Acceptance

 

By clicking “Accept” during registration:

 

You acknowledge you have read, understood, and agreed to all terms in this Agreement.

 

You confirm that your digital acceptance is legally binding as a physical signature.

 

You agree that Ezapp bears no responsibility for your actions, products, or compliance

 

 

DELIVERY PARTNER FREELANCER AGREEMENT

 

This Delivery Partner Freelancer Agreement (“Agreement”) is entered into by and between:

 

Ezapp Technologies Private Limited (including its affiliates, successors, and assigns) (“Company”), a company incorporated under the Companies Act, 2013, having its registered office at [●], India, operating a technology platform providing delivery services (“Ezapp Platform”);

 

AND

 

The Delivery Partner (“Delivery Partner”), an independent freelancer, being a natural person of sound mind, over 18 years of age, having valid identity/address proof, valid driving license, and vehicle details as provided during registration.

 

The Company and the Delivery Partner shall collectively be referred to as the “Parties” and individually as a “Party”.

1. ENGAGEMENT

 

1.1 The Delivery Partner agrees to provide on-demand last-mile pick-up and delivery services (“Services”) through the Ezapp Platform on a freelance, principal-to-principal, non-exclusive basis.

1.2 Nothing herein shall be construed as creating an employer–employee relationship, agency, partnership, or joint venture. The Delivery Partner acts as an independent contractor.

1.3 The Delivery Partner may accept or reject delivery orders at their discretion, subject to reasonable performance standards communicated by the Company.

2. ELIGIBILITY & ONBOARDING

 

2.1 The Delivery Partner represents that they:

 

Are at least 18 years old.

 

Possess a valid government-issued identity card (Aadhaar, PAN, etc.).

 

Hold a valid driving license and vehicle registration (if using motorized transport).

 

Possess a valid Goods & Services Tax (GST) registration, if required.

 

Have a functioning smartphone with internet connectivity.

 

 

2.2 The Company reserves the right to verify documents and may suspend/terminate access if documents are invalid, fraudulent, or expired.

3. DELIVERY PARTNER OBLIGATIONS

 

3.1 Provide services professionally, diligently, and in compliance with applicable laws.

3.2 Ensure safety of goods, timely delivery, and respectful behavior with customers and vendors.

3.3 Maintain hygiene, safety gear, and comply with Company’s operational policies (including contactless delivery, if applicable).

3.4 Not engage in misconduct, theft, fraud, or tampering with goods.

3.5 Bear all costs of vehicle, fuel, insurance, repairs, mobile data, and statutory compliances.

4. SERVICE FEES & PAYMENTS

 

4.1 Service Fee Model:

 

The Delivery Partner shall receive ₹6 (Indian Rupees Six Only) per kilometer traveled for a completed delivery.

 

A minimum guaranteed fee of ₹18 (Indian Rupees Eighteen Only) shall apply for each delivery.

 

Additional incentives, bonuses, or surge payments (if any) shall be notified via the Ezapp Platform.

 

 

4.2 Payment & Withdrawal:

 

Delivery fees shall be credited to the Delivery Partner’s digital wallet within the Ezapp Platform.

 

The Delivery Partner may place a withdrawal request anytime.

 

Withdrawals shall be processed and approved within 48–72 hours from the time of request, subject to banking/payment gateway timelines.

 

 

4.3 Taxes:

 

The Delivery Partner shall be responsible for payment of income tax, GST (if applicable), and other statutory dues.

 

The Company may deduct TDS or other taxes as required under law.

5. TERM & TERMINATION

 

5.1 This Agreement is effective from the date of digital acceptance and shall continue until terminated in accordance with this clause.

5.2 Either Party may terminate this Agreement at any time by providing 7 (seven) days’ prior written/digital notice.

5.3 The Company may suspend or terminate immediately without notice in case of:

 

Fraud, theft, or misrepresentation.

 

Misconduct, harassment, or criminal activity.

 

Breach of obligations under this Agreement.

 

Repeated poor ratings or customer complaints.

6. INSURANCE & LIABILITY

 

6.1 The Delivery Partner shall maintain mandatory third-party motor insurance and personal accident cover, as per Motor Vehicles Act and Company policy.

6.2 The Delivery Partner shall be liable for:

 

Loss, damage, or theft of goods due to negligence or misconduct.

 

Traffic violations, fines, and legal penalties arising from driving or delivery activities.

6.3 The Company shall not be liable for:

 

Personal injury or accidents suffered by the Delivery Partner during service.

 

Any third-party claims, unless caused solely due to gross negligence of the Company.

7. CONFIDENTIALITY & DATA PROTECTION

 

7.1 The Delivery Partner shall not disclose or misuse any confidential information (including customer data, vendor details, pricing, business operations).

7.2 All data collected during services (including customer addresses, phone numbers, etc.) is Company property and must not be retained post delivery.

7.3 The Delivery Partner agrees to comply with applicable data protection and privacy laws.

8. REPRESENTATIONS & WARRANTIES

 

The Delivery Partner warrants that:

 

All documents and information provided are true and valid.

 

They are not convicted of any criminal offense.

 

They shall comply with all laws including traffic, labor, GST, income tax, and delivery-related regulations.

9. DIGITAL ACCEPTANCE

 

9.1 The Delivery Partner acknowledges that this Agreement is executed electronically by clicking “Accept” on the Ezapp Platform.

9.2 Such acceptance shall constitute a valid and binding contract under the Information Technology Act, 2000 and Indian Contract Act, 1872.

10. INDEMNITY

 

The Delivery Partner agrees to indemnify and hold harmless the Company, its officers, employees, and affiliates against any losses, damages, claims, penalties, or expenses arising from:

 

Breach of this Agreement.

 

Violation of laws.

 

Misconduct, negligence, or fraudulent activities.

11. LIMITATION OF LIABILITY

 

The Company’s liability under this Agreement shall be limited to the amount of service fee due and payable for the services performed by the Delivery Partner in the preceding 30 days.

12. DISPUTE RESOLUTION & GOVERNING LAW

 

12.1 This Agreement shall be governed by and construed in accordance with the laws of India.

12.2 Any disputes shall be resolved through good-faith negotiations. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

12.3 The seat and venue of arbitration shall be [City, India], proceedings in English, with a sole arbitrator mutually appointed.

12.4 Courts at [City, India] shall have exclusive jurisdiction.

13. MISCELLANEOUS

 

Entire Agreement: This Agreement constitutes the entire understanding and supersedes all prior arrangements.

 

Amendments: The Company may update this Agreement by providing notice through the Ezapp Platform. Continued use shall constitute acceptance.

 

Assignment: The Delivery Partner may not assign rights without prior consent. The Company may assign to affiliates or successors.

 

Severability: If any provision is held invalid, the remainder shall remain enforceable.
